1. Acceptance of Terms

These Terms of Use (the "Terms") constitute a legally binding agreement between you ("you" or "User") and Street Ready Capital ("SRC," "we," "us," or "our") governing your access to and use of our website, courses, case studies, materials, and related services (collectively, the "Services").

By accessing our website, creating an account, purchasing a course, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not access or use the Services.

2. Description of Services; No Professional Advice

SRC provides case-study-based educational courses designed to simulate real-world transaction scenarios (such as sell-side M&A and equity financing processes), including review and feedback sessions with practicing finance professionals.

You acknowledge and agree that:

• All companies, individuals, financial figures, transactions, and scenarios depicted in our case studies and materials are fictional or illustrative and prepared solely for educational purposes.
• The Services are provided for educational and informational purposes only and do not constitute, and should not be construed as, investment advice, financial advice, legal advice, accounting advice, tax advice, or a recommendation or solicitation to buy, sell, or hold any security or to engage in any transaction.
• Instructors and reviewers who participate in review sessions do so in an educational capacity only. No instructor-client, advisor-client, fiduciary, or other professional relationship is created between you and SRC, its instructors, or any affiliated individual as a result of your participation in the Services.
• You should not rely on any information provided through the Services to make actual investment, business, financial, legal, or career decisions without independently verifying such information and, where appropriate, consulting a duly licensed and qualified professional.

3. Eligibility and Account Registration

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement and that all registration information you provide is accurate and current.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Fees, Payment, and Refunds

• All fees for courses and Services are as listed on our website at the time of purchase and are payable in advance unless otherwise stated.
• Payments are processed through third-party payment processors. SRC does not store your full payment card information.
• All sales are final except as required by applicable law. SRC reserves the right to modify pricing at any time, provided that such changes will not affect courses already purchased.
• SRC reserves the right to suspend or terminate access to the Services for non-payment or failed payment.

5. Intellectual Property Rights

5.1 Ownership. All content provided through the Services — including but not limited to case study materials, task sheets, financial models, templates, presentations, written materials, videos, recordings, branding, graphics, logos, and any other materials made available to you (collectively, the "Materials") — is the exclusive property of Street Ready Capital or its licensors. Nothing in these Terms transfers any ownership rights in the Materials to you.

5.2 Limited License. Subject to your compliance with these Terms and payment of applicable fees, SRC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Materials solely for your own personal, individual, non-commercial educational use.

5.3 Prohibited Uses. You shall not, and shall not permit any third party to:

• Copy, reproduce, distribute, republish, post, transmit, share, upload, or otherwise make available any Materials, in whole or in part, to any third party, by any means (including but not limited to screenshots, screen recordings, photographs, file sharing, cloud storage links, social media, or any other method);
• Sell, rent, lease, sublicense, or otherwise commercially exploit the Materials or the Services;
• Use the Materials to create derivative works, competing products, or competing course offerings;
• Record, livestream, or otherwise capture any review session, consultation, or instructor interaction without SRC's prior written consent;
• Share your account credentials or access to the Services with any person who has not independently purchased access;
• Remove, obscure, or alter any copyright, trademark, or other proprietary notices contained in the Materials;
• Reverse engineer, decompile, or otherwise attempt to extract the underlying structure, ideas, or methodology of the Materials for purposes of replication;
• Use any automated means (bots, scrapers, crawlers) to access, copy, or extract content from the Services;
• Use the Materials or Services in any manner that infringes the intellectual property or other rights of SRC or any third party.

5.4 Enforcement. SRC actively monitors for unauthorized use and reserves the right to pursue all available legal and equitable remedies — including immediate termination of access without refund, and civil action for damages, injunctive relief, and recovery of legal costs — against any User who violates this Section 5. You acknowledge that unauthorized reproduction or distribution of the Materials causes harm to SRC that may not be adequately compensated by monetary damages alone, entitling SRC to seek injunctive relief in addition to other remedies.

5.5 Feedback. If you provide SRC with any suggestions, ideas, or feedback regarding the Services, you grant SRC a perpetual, irrevocable, royalty-free, worldwide license to use such feedback for any purpose without obligation or compensation to you.

6. User Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations;
• Harass, abuse, threaten, or behave inappropriately toward any instructor, employee, or other user of the Services;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Interfere with or disrupt the operation of the Services or servers or networks connected to the Services;
• Upload or transmit any viruses, malware, or other harmful code;
• Attempt to gain unauthorized access to any portion of the Services, other accounts, or related systems.

SRC reserves the right, in its sole discretion, to suspend or terminate the account of any User who violates this Section, without refund.

7. Confidentiality

To the extent any proprietary or non-public information is exchanged during review or consultation sessions, both parties agree to use such information solely for purposes of the educational engagement and not to disclose it to third parties, except as required by law.

8. Disclaimer of Warranties

THE SERVICES AND ALL MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY.

SRC DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY MATERIALS, INSTRUCTION, OR FEEDBACK WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

YOU ACKNOWLEDGE THAT COMPLETION OF SRC'S COURSES DOES NOT GUARANTEE EMPLOYMENT, CAREER ADVANCEMENT, ACADEMIC CREDIT, OR ANY PARTICULAR OUTCOME.

 9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

9.1 IN NO EVENT SHALL SRC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, INSTRUCTORS, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, REGARDLESS OF THE LEGAL THEORY ASSERTED (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), AND EVEN IF SRC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 SRC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID TO SRC FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9.3 SRC IS NOT LIABLE FOR ANY DECISIONS, INVESTMENTS, CAREER MOVES, OR OTHER ACTIONS YOU TAKE BASED ON INFORMATION, FEEDBACK, OR MATERIALS OBTAINED THROUGH THE SERVICES.

9.4 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless SRC and its officers, directors, employees, contractors, instructors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any unauthorized reproduction, distribution, or sharing of the Materials in violation of Section 5.

11. Termination

SRC reserves the right to suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, SRC, or third parties, or for any other reason in our sole discretion — including, without limitation, unauthorized distribution or reproduction of Materials. Upon termination, your right to use the Services will immediately cease, and Sections 5, 7, 8, 9, 10, and 13 shall survive termination.

You may terminate your account at any time by contacting us, though no refunds will be issued except as required by law.

12. Modifications to the Services and Terms

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time without liability to you. We may also revise these Terms from time to time. The revised Terms will be posted on our website with an updated "Last Updated" date, and your continued use of the Services following such changes constitutes your acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

13.2 Dispute Resolution. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree that such dispute shall be submitted to binding arbitration in Toronto, Ontario, under the rules of a mutually agreed arbitration body, and judgment upon the award rendered may be entered in any court having jurisdiction. Each party shall bear its own costs of arbitration unless otherwise determined by the arbitrator. Nothing in this Section shall prevent SRC from seeking injunctive relief in a court of competent jurisdiction to protect its intellectual property rights under Section 5.

13.3 Class Action Waiver. To the extent permitted by applicable law, you agree that any proceedings to resolve disputes will be conducted only on an individual basis and not as a class, consolidated, or representative action.

14. General Provisions

14.1 Entire Agreement. These Terms, together with our Privacy Policy and any other legal notices published by SRC, constitute the entire agreement between you and SRC regarding the Services and supersede all prior agreements and understandings.

14.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 No Waiver. SRC's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without SRC's prior written consent. SRC may freely assign these Terms in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure. SRC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labour disputes, internet or utility failures, or government action.

14.6 Independent Contractors. Instructors and reviewers providing Services are independent contractors and not employees or agents of SRC for purposes of creating liability beyond what is expressly stated herein, except as required by applicable law.
